Terms and Conditions

These Terms and Conditions (the “Agreement”) govern the use of RapidEX Financial Inc. services (“Services”) provided by RapidEX Financial Inc. (“RapidEX,” “we,” “us,” or “our”) to the user (“you”) accessing and utilizing our website, online trading portal, OTC desk, ATMs, kiosks, and applications (collectively, the “Platform”).

By using our Services, you accept and agree to be bound by this Agreement. Please read carefully as this forms a legal contract between you and RapidEX.

1. Services

  1. RapidEX Financial provides non-custodial access to buy and sell digital assets, including but not limited to Bitcoin, Ethereum, and Litecoin, via:
    • Online portal (funded by Interac e-Transfer or wire)
    • OTC desk for large transactions
    • Crypto-enabled ATMs and kiosks (CATMs)
  2. RapidEX does not custody or hold client assets. All transactions result in immediate delivery of digital assets to the wallet address you provide.
  3. RapidEX may delay, suspend, or refuse any transaction at our discretion, including for suspected fraud, incomplete verification, or compliance with KYC/AML obligations.
  4. Services must only be used for lawful purposes in accordance with Canadian laws and regulations.

2. User Acknowledgements

By using our Services, you acknowledge and agree that:

  1. RapidEX is not responsible for the performance, value, or use of any cryptocurrency once delivered. Digital assets are volatile, and transactions are final and irreversible.
  2. Cryptocurrencies are not legal tender in Canada.
  3. You are solely responsible for understanding and reporting any tax liabilities arising from your transactions.
  4. RapidEX is not a financial institution, investment firm, or advisor. We facilitate transactions only.
  5. Our Services depend on third-party networks (banking APIs, blockchain, internet connectivity). We are not liable for service disruptions, delays, or failures beyond our control.
  6. You are responsible for entering accurate wallet addresses. Errors cannot be reversed or refunded.
  7. RapidEX may suspend or refuse transactions to comply with laws, regulations, or internal risk policies.
  8. You must be at least 18 years old and not prohibited by law from using our Services.

3. Online Portal and OTC Transactions

  1. Funding Methods:
    • Interac e-Transfers are typically processed within minutes once verified.
    • Wire deposits may take 1–2 business days to clear before a trade is executed.
  2. Execution: Orders are executed only upon verified receipt of funds in our designated accounts.
  3. OTC Desk: OTC trades may require additional verification, source-of-funds documentation, or settlement terms agreed in writing.

4. Compliance and Verification

  1. RapidEX is registered as a Money Services Business (MSB) with FINTRAC and complies with Canadian AML/KYC regulations.
  2. You agree to provide accurate identity documents and information for verification.
  3. We may request additional documentation (e.g., source of funds) for certain transactions. Refusal to comply may result in cancellation or reporting to regulators.

5. Disclaimers and Risk Notice

  1. No Advice: RapidEX does not provide investment, legal, or tax advice. Any information on the Platform is for informational purposes only.
  2. Volatility and Risk: Cryptocurrency involves substantial risk, including loss of principal, market volatility, and regulatory uncertainty. You should only transact amounts you can afford to lose.
  3. No Guarantees: RapidEX does not guarantee uninterrupted access, price accuracy, or execution speed. Prices may fluctuate between initiation and settlement of your order.
  4. Regulatory Variance: Cryptocurrency rules may vary by jurisdiction. You are responsible for compliance with applicable laws.
  5. Past Performance: Historical performance is not indicative of future results.

6. Limitation of Liability

  1. To the maximum extent permitted by law, RapidEX is not liable for losses, damages, or claims arising from:
    • Cryptocurrency price fluctuations
    • Incorrect wallet information provided by you
    • Service outages or third-party failures
    • Fraudulent or unauthorized use of your account
    • Delays in bank transfers, blockchain confirmations, or regulatory reviews
  2. Our liability in all cases is strictly limited to the value of the transaction fees paid to RapidEX for the disputed transaction.

7. Termination and Suspension

We reserve the right to suspend, restrict, or terminate access to our Services at our discretion, including for suspected fraud, non-compliance, or violation of this Agreement.

8. Governing Law

This Agreement is governed by and construed in accordance with the laws of Alberta and the federal laws of Canada. Disputes shall be resolved exclusively in Alberta courts.

9. Acceptance

By accessing or using the Platform, you confirm that you:

  • Have read, understood, and agreed to these Terms and Conditions;
  • Assume all risks associated with digital asset transactions;
  • Will comply with all applicable laws and regulations.
